Bruce Kistler is a Managing Director at Okapi Partners and co-leads the firm’s Governance Consulting practice, advising both corporate and investor clients on corporate governance, shareholder engagement, and executive compensation matters. In addition to supporting clients on proxy-related issues in both contested and uncontested meetings, Bruce guides companies through their annual off-season shareholder engagement programs.
Bruce joined Okapi in response to growing client demand for ESG advisory services, bringing deep on-the-ground knowledge of how institutional investors and proxy advisors evaluate governance and compensation practices. He is a recognized voice in the field and has spoken at industry forums including the IR Magazine Corporate Secretary Forum, where he has addressed topics such as shareholder activism preparedness and evolving board governance expectations.
Prior to Okapi, Bruce spent over nine years at ISS Corporate Solutions. There, as an Associate Director, he led a team advising public company clients across multiple industries, with a particular concentration in real estate and insurance, on the design and disclosure of executive compensation plans, equity plans, and a broad range
of corporate governance practices.
